Overview

Welcome to BillBuddys!

Billbuddys is a friendly-social group bill splitting and payment service offered by NBT Technologies Ltd.

This Terms of Service, including all Schedules and Annexures linked to this document (collectively referred to as the "Terms of Service" or "Terms") sets out the full terms and conditions governing your (the "user") use of BillBuddys (also referred to as "the Services") (as defined below).

This Terms, together with the Privacy Policy and any updates thereto, constitutes the entire understanding between you and NBT Technologies Ltd concerning the use of BillBuddys and supersedes all prior agreements, representations, or understanding.

Definitions and Interpretations

In this Terms of Service, the following words and phrases have the meanings explained below, unless the context clearly indicates otherwise:

NBT Technologies Ltd: the Service Provider for BillBuddys. Also referred to as "NBT", "We", "Us", or "Our".

Platform ("the platform"): this is the technology infrastructure that powers or enables BillBuddys service.

The Service: BillBuddys service.

OTP ("OTP code"): this is a one time code that is sent to your mobile number for purposes of verification. Its validity is time-bound and it must be used within the specified validity.

Buddytag: this is your BillBuddys account alias.

Registered user ("app user"): this is a legal person who downloads and creates an account with BillBuddys through a sign-up process.

Unregistered user ("none-app user"): this is a legal person who gets invited and accepts to contribute to a bill.

Buddy ("Buddys"): this is a member of a group shared bill created on the platform and is expected to contribute to the shared bill. They might be a registered user or unregistered user.

Bill: this is an expense identified by a name, amount, and optionally bill category and is assigned a unique identifier within the platform.

Bill Management: this is the creation, splitting, contribution payment, and settlement of group shared expense on the platform

Bill Creator: is a registered user who initiates, creates, and manages a bill or contribution drive on the BillBuddys platform.

Bill Lifecycle: this means the sequence of operational stages that a bill created within the BillBuddys service passes through from creation to completion or termination. Each status reflects the bill's current state, permitted actions, and level of progress, as follows:

  • Draft: The initial state of a newly created bill prior to submission. In this stage, all identifying details such as the bill name, amount, and contributors may be modified. The bill creator may add or remove contributors, or cancel the bill. A bill cancelled while in Draft status is permanently deleted.
  • Pending: The status automatically assigned once a draft bill is submitted and before any contribution has been made. In this stage, the bill may be viewed, and payment prompts may be reinitiated. The bill creator may cancel the bill.
  • Active: The status that applies once the first contribution toward a pending bill has been successfully made. The bill remains Active until the total target amount is fully contributed.
  • Ready: The status attained once the bill's target amount has been fully contributed. At this stage, the bill is available for settlement using the permitted payment methods and for viewing contribution details.
  • Paid: The status assigned after the successful completion of a settlement transaction. Bills in Paid status may only be viewed; no further edits or transactions are permitted.
  • Suspended: A restricted status that may be applied by NBT Technologies Ltd through back-office intervention. In this status, all bill-related operations are disabled.
  • Cancelled: The status assigned when a bill creator cancels a bill in either Draft or Pending status or when all the buddys in a shared bill decline to contribute. All pending payment links or invitations associated with a cancelled bill are automatically invalidated.

Running Bill: this is a bill that is either in pending or active state and therefore can receive contributions.

STK Push ("SIM Toolkit Push"): this a mobile payment feature that allows service providers to send a payment request directly to a customer's phone.

PIN ("Personal Identification Number"): this is your secret identification and authorization code.

Fund Raise: this is a flexible bill-creation feature that enables a Registered User ("Bill Creator") to initiate a contribution drive without requiring prior knowledge of the total bill amount or confirmed participants.

Words importing the singular include the plural and vice versa, and words importing any gender include all genders.

Acceptance of Terms

By creating an account, accessing, or using BillBuddys in any manner, you agree to comply with and be bound by the Terms of Service contained herein. If you do not agree with any part of this Terms, you must not access or use BillBuddys.

NBT Technologies Ltd reserves the right to update, amend, or modify these Terms at any time. Any changes will be effective upon posting on the BillBuddys platform or website. Your continued use of BillBuddys after such changes constitutes your acceptance of the revised Terms.

BillBuddys is intended for use only by natural persons who are legally capable of entering into binding contracts under the laws of their jurisdiction. By accessing or using BillBuddys, you represent and warrant that you are an individual acting in your personal capacity, and not on behalf of any company, organization, or other legal entity.

In Kenya, you must be at least eighteen (18) years old to use BillBuddys. If you do not meet this requirement, you are not permitted to access or use the Service.

We reserve the right to suspend or terminate any account created or operated in violation of this Terms.

Use of Service

BillBuddys enables registered users to:

  • Create and manage shared group bills
  • Invite contributors to share expenses
  • Pay or contribute to a running bill
  • Track contribution payments
  • Complete bill settlements through integrated mobile wallet transactions
  • Manage user profiles with unique tags and social features

Unregistered users can contribute to a running bill and may see limited information regarding the bill for instance total bill amount, their share of contribution, and total contributors especially for "Fund Raise" feature.

The Service is intended only for legitimate expense sharing. You agree to use BillBuddys only for lawful purposes and in accordance with this Terms.

Registration & Account Security

To register for and access the BillBuddys application, you must authenticate using a valid third-party account provider, including a Google Account or Apple ID, through OAuth 2.0 authentication.

By registering, you authorize BillBuddys to receive certain profile information from the selected authentication provider, including your first and last name, which shall be auto-populated within your account profile.

In addition, you must provide and/or verify the following information:

  • A valid mobile phone number, verified via One-Time Password (OTP);
  • Date of birth (you must be at least 18 years old to register);
  • A unique Buddytag;
  • Gender (optional).

You represent and warrant that all information provided during registration is accurate, current, and complete.

Each user may only register one account per email or Apple ID.

You are responsible for maintaining accurate information and securing your login credentials.

You must not share your OTP code with anyone else and you must notify us of any unauthorized access.

Your registered buddytag serves as your unique digital identifier within the BillBuddys platform. All activities, communications, and transactions performed through your account or using your buddytag shall be deemed to have been carried out by you personally.

You acknowledge and agree that your buddytag and associated credentials (including your verified mobile number, email, or Apple ID) legally represent you for all intents and purposes under this Terms. Any operation, instruction, or authorization executed through your account shall be considered valid, binding, and enforceable as if personally signed or approved by you.

You are solely responsible for maintaining the confidentiality of your account. We shall not be liable for any loss or damage resulting from unauthorized access or misuse of your account, buddytag, or associated credentials unless such loss arises directly from NBT's gross negligence or misconduct.

We may send you notifications through any of our permitted channels during onboarding for verification and reminders.

An unregistered user can participate in a contribution drive upon receiving and accepting an invite from a registered user. For this case, the following information shall be collected, and stored for purposes of offering the service:

  • Names
  • Mobile Number
  • Transaction Details for example contributed amount

No account shall be automatically created by virtue of participating in a contribution.

User Conduct & Prohibited Activities

You agree to:

  • Use accurate information and keep your profile up to date.
  • Not impersonate others, create multiple accounts, or use another person's account
  • Not use the service for fraudulent, illegal, or unauthorized purposes
  • Respect other users' privacy and refrain from abusive or offensive behavior
  • Bear all mobile data and transaction costs associated with your usage.
  • Not attempt to manipulate or exploit the Service in a manner not specified under the "Use of Service" section
  • Not reverse engineer, scrape, or interfere with the BillBuddys platform offering the Service.

NBT reserves the right to suspend or terminate your accounts that violate these terms.

Bill Management

A bill creator may create and split a bill among their buddys and invite them to contribute to the bill. Bill creators are responsible for accurately entering bill details.

All bills created on the Platform shall undergo an applicable lifecycle as defined in the Bill Lifecycle section under "Definitions and Interpretations" herein.

The platform allows you to split a bill either equally among participants or through a custom allocation. Where certain payment service providers are unable to process fractional amounts (cents), any unallocated remainder after an equal distribution of bill amount among the participants shall automatically be assigned to the bill creator.

Buddys may be invited to contribute to a bill via their buddytag, or mobile number or contribution link through any of the supported notification channels.

Buddys may receive payment prompts (STK Push or Web Link) and can accept or reject participation in the shared group bill.

Once a bill reaches its target amount ("Ready" status), the bill creator may settle the bill via provided bill settlement options for example; Buy Goods, Pay Bill, Pay to Pochi, and Send Money.

A Bill Creator may, at their discretion, terminate an active bill or contribution drive prior to achieving any stated target amount, target number of contributors, or contribution deadline.

Upon such termination, the Bill Creator shall be entitled to settle and receive the total contributions collected up to the time of termination, less any applicable service fees and charges.

Once a bill has been terminated, it shall be closed to further contributions and no additional payments shall be accepted through the platform.

Payments & Settlements

BillBuddys integrates with M-PESA and other financial service providers. By using the Service, you authorize BillBuddys to initiate payment requests to your registered mobile number.

NBT Technologies Ltd does not capture, record, or retain your Mobile Wallet PIN or authentication credentials. Upon initiating a contribution toward a shared bill, you will be required to authorize the transaction, which shall be authenticated and processed exclusively by your mobile payment service provider.

By using the service as an unregistered user, you acknowledge and consent that certain personal and transaction information relating to your contribution shall be made available to the Bill Creator.

Such information may include your name, mobile phone number, contribution amount, transaction reference, transaction status, receipt confirmation, and the date and time of the transaction.

You further acknowledge that the Bill Creator may, at their sole discretion, share such information with other contributors to the same bill or with third parties for the purpose of reporting on or administering the contribution activity.

To the fullest extent permitted by applicable law, NBT shall not be responsible or liable for any use, disclosure, or consequences arising from the Bill Creator's independent handling or onward sharing of such information.

Service Fee

BillBuddys charges a service fee to the Bill Creator for facilitating bill management and settlement services. The applicable fee shall be communicated prior to confirmation of a bill.

Where the service fee is calculated as a percentage and results in a fractional amount, the fee shall be rounded up to the nearest whole currency unit. By creating a bill, the Bill Creator agrees to this rounding methodology.

You acknowledge and agree that third-party payment processors or mobile money service providers may impose their own transaction charges, service fees, or taxes in connection with payment authorization or processing. Such third-party charges are independent of NBT Technologies Ltd and remain solely your responsibility to pay except for the final settlement of the bill charges which NBT shall cover for you.

We shall not be liable for any additional fees, deductions, or variations applied by third-party payment providers beyond the fees expressly disclosed for use of the BillBuddys service.

Transaction fees are non-refundable except in cases where a system error or failure attributable to us has occurred.

Notifications & Communications

BillBuddys may send notifications, alerts or reminders through our available channels. Users consent to receive these notifications related to but not limited to payments, contribution requests, reminders, account security, and service updates. Some notification links have expiry periods and cannot be reused once expired.

Users are responsible for verifying the legitimacy, accuracy, and completeness of any notification or communication purporting to originate from NBT Technologies Ltd or the BillBuddys service before acting on any instruction contained therein. We shall not be liable for any loss or damage arising from reliance on forged, unauthorized, or fraudulent notifications.

Reversals

A contribution transaction may only be reversed upon receiving a request and consent of the Bill Creator.

Reversal of a settlement transaction shall only be considered in cases where payment was made to an erroneous recipient. No reversal of a contribution shall be permitted where the bill has already been settled or paid out.

Prior to processing any reversal request, the Bill Creator shall undergo a verification process as determined by BillBuddys in its sole discretion.

BillBuddys does not guarantee the success of any reversal request, as processing is subject to consent from the funds recipient, third-party payment provider policies and system constraints.

Refunds & Disputes

All payments are final. Refunds are granted only for:

  • Duplicate transactions due to a technical error attributed to the platform
  • System errors causing misdirected payments

Refund requests must be submitted within 7 days by the bill creator to our email support channel.

User-to-user disputes (e.g., disagreements over shares of contributions) must be resolved privately.

Privacy & Data Protection

Your personal data is collected and processed in accordance with our Privacy Policy, which complies with the Kenya Data Protection Act, 2019.

By using BillBuddys, you consent to the collection and use of your data for service functionality, including:

  • Account verification,
  • Notifications,
  • Transaction processing, and
  • Customer support.

We never sell personal data. Please refer to our Privacy Policy for full details.

Intellectual Property

All intellectual property rights in BillBuddys — including the app, design, logo, and content — belong to NBT Technologies Ltd.

You are granted a non-exclusive, non-transferable, revocable license to use the service for personal purposes only. You may not copy, modify, resell, reverse engineer, or distribute our intellectual property without prior written consent from NBT.

Third-Party Services

BillBuddys integrates with:

  • OAuth providers (Google, Apple)
  • Payment Gateways (like M-PESA, and other financial service providers)
  • SMS providers
  • Cloud hosting services

Your use of these services is subject to their terms and we are not liable for third-party practices.

NBT acts solely as a technology facilitator and not as a financial intermediary. Payments are processed through third-party mobile money or payment service providers, and we assume no responsibility for their service availability or performance.

Limitation of Liability

NBT Technologies Ltd provides BillBuddys on an "as-is" and "as-available" basis to the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, or consequential damages, including data loss, revenue loss, or payment disputes.
  • We are not responsible for third-party payment failures or delays.
  • Users remain solely responsible for ensuring payment details are accurate before submission
  • Unauthorized access to accounts

Indemnification

You agree to indemnify and hold harmless NBT Technologies Ltd, its directors, employees, and partners from any claims, losses, liabilities, or damages arising from:

  • Your misuse of the BillBuddys service,
  • Breach of this Terms, or
  • Violation of applicable laws.

Suspension and Termination

You may terminate your account by contacting us via our support channels. We may suspend or terminate your accounts:

  • For breach of this Terms,
  • For engaging in fraudulent or illegal activity,
  • For providing false information, or
  • If required by law or in executing regulatory directive

Upon termination, you lose access to all features, and all pending bills will be automatically cancelled or archived.

Outstanding payment obligations may survive termination.

Governing Law & Dispute Resolution

This Terms are governed by the laws of Kenya. Disputes shall first be resolved informally by contacting support. If unresolved, disputes will be handled through arbitration in Nairobi, Kenya, under the Arbitration Act.
